Terms of Service

Plain-language terms and conditions for Free, Pro, account security, BYOK providers, subscriptions, AI allowances, beta features, and responsible use.

Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FluxType ("FluxType," "we," "us," or "our") governing your access to and use of the FluxType desktop application, website, accounts, subscriptions, support services, optional cloud features, and all related services (collectively, the "Services"). These Terms should be read together with our Privacy Policy, which is incorporated into these Terms by reference.

By installing the FluxType application, visiting our website, creating an account, purchasing a subscription, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install, access, or use FluxType.

If you are using FluxType on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, references to “you” include both you and the entity on whose behalf you are acting.

You confirm that you are of legal age to enter into a binding contract in the jurisdiction where you reside, and that your use of FluxType complies with any laws that apply to you.

Eligibility and accounts

You must be at least 13 years old to use FluxType. Account-based features, including FluxType Pro, are not available to children under 13. By creating an account, you represent that you meet this age requirement.

You are solely responsible for maintaining the confidentiality and security of your account credentials, your device, any connected provider accounts, and any BYOK API keys you configure within the app. You are responsible for all activity that occurs under your account, whether or not you authorised it. If you believe your account or API keys have been compromised, you must notify us immediately at support@fluxtype.app.

You agree to provide accurate, current, and complete information when creating your account and to keep your account information reasonably up to date. Accounts created with false information, or used in ways that violate these Terms, may be suspended or terminated.

Optional account security and recovery

MFA is optional. If you choose to enable authenticator app multi-factor authentication, FluxType may require a current one-time code after password, Google, GitHub, or other supported sign-in methods before granting account access.

When you enable authenticator MFA, FluxType may generate one-time recovery codes for your account. You are responsible for copying, downloading, storing, and protecting those recovery codes. Recovery codes can be used only once, and generating a new set replaces any previous set immediately.

If you lose access to both your authenticator app and your recovery codes, FluxType cannot automatically restore access to your account. Support-assisted recovery may be unavailable or may require additional identity and ownership checks before we can take any action. We may refuse recovery requests when we cannot verify account ownership or when recovery would create security, privacy, legal, or abuse risk.

Disabling authenticator MFA invalidates saved recovery codes. If you enable authenticator MFA again later, generate and save a fresh recovery-code set before relying on it.

FluxType Free

FluxType Free provides access to local dictation features for personal and commercial use. Local dictation using a locally installed Whisper model does not require a FluxType account and operates without a FluxType-hosted usage cap.

Free account features — including AI feature previews, cloud-assisted capabilities, and access to beta features — require sign-in and may be subject to monthly usage limits, rate limits, model restrictions, regional availability constraints, or abuse controls.

We may modify, restrict, or discontinue Free features at any time, including to protect service reliability, prevent abuse, manage third-party provider costs, or transition features to the paid tier. We will communicate significant changes where practical.

FluxType Pro subscriptions

FluxType Pro is a paid subscription available on a monthly or annual billing cycle. A Pro subscription provides access to the paid features listed on our pricing page at the time of your purchase, the published FluxType-hosted AI allowance for your plan tier, and supported BYOK provider integrations where available.

Subscriptions are sold and billed by Polar, our payment provider and merchant of record. Prices, taxes, and currency are shown at checkout. You are also responsible for any currency conversion fees, card-network charges, or bank fees charged by your financial institution.

Your subscription renews automatically at the end of each billing period at the then-current price for your plan. By purchasing a subscription, you authorise FluxType and Polar to charge your payment method on a recurring basis at the applicable interval. We will provide you with at least 30 days' advance notice before applying any increase to the price of your active recurring subscription.

You may cancel your subscription at any time through the billing portal or account settings. Cancellation takes effect at the end of your current paid billing period, after which your access will revert to the Free plan. Cancellation does not entitle you to a refund for the unused portion of the current period unless required by law or approved by FluxType or Polar.

Annual billing, cancellations, and refunds

Annual subscribers are charged for a full year of FluxType Pro access at the annual price displayed at checkout. FluxType-hosted AI allowances are granted monthly and reset each calendar month — unused allowance does not roll over to the following month, even on an annual plan.

Cancelling an annual subscription prevents the subscription from renewing at the next annual billing date. It does not automatically generate a refund for the remaining months of the current annual period, unless required by applicable law or expressly approved through the billing process.

EU and UK statutory right of withdrawal: If you are a consumer located in the European Economic Area or the United Kingdom, you have a statutory right to withdraw from this contract within 14 calendar days of purchase without providing a reason and receive a full refund. However, if you have begun using FluxType Pro features during the 14-day withdrawal period, you expressly request that performance of the contract begin before the end of the withdrawal period, and your refund will be reduced proportionally to reflect the Pro features already delivered. To exercise your withdrawal right, contact us at support@fluxtype.app within 14 days of your purchase date. We will process your refund promptly in accordance with applicable law.

Outside the statutory withdrawal period, refunds are handled through Polar and governed by applicable law. Unless a separate refund policy is published, a refund is approved by FluxType or Polar, or the law requires otherwise, subscription fees are non-refundable after the withdrawal period expires.

If you encounter a problem with your purchase, activation, feature access, or cancellation, contact us at support@fluxtype.app before initiating a payment dispute or chargeback. Unresolved chargebacks and fraudulent payment disputes may result in account suspension.

FluxType-hosted AI allowances

FluxType-hosted AI processing allowances are measured by the volume of text processed through FluxType-hosted AI modes, including Clean Dictation, Message, Notes, Prompt Builder, and Custom Instructions where available. We may measure this by word count, character count, request count, or a combination, and may apply per-request size limits, short-window rate limits, abuse controls, or model restrictions as necessary to maintain service reliability and economic sustainability.

FluxType-hosted AI requests may be routed to third-party AI providers such as Google Gemini, OpenAI, OpenRouter, or other configured providers depending on availability, routing, model selection, region, reliability, abuse controls, and service limits.

When you reach your monthly allowance, local raw dictation continues to function without interruption. You may wait for your allowance to reset at the start of the next month, switch to local-only features, or use a supported BYOK provider integration to route AI processing through your own provider account.

AI allowances are a service entitlement, not stored value, credits, or property. They do not accumulate, do not roll over between months, cannot be transferred between accounts, and are not redeemable for cash or refunds unless required by law.

We may throttle, reject, or flag for review requests that are unusually large, submitted in automated bulk, designed to circumvent plan limits, or otherwise abusive or harmful.

Bring-your-own-key (BYOK) providers

FluxType supports BYOK integrations with third-party providers including OpenAI, Google Gemini, Deepgram, OpenRouter, and other supported providers. When you configure a BYOK integration and use a BYOK-powered feature, FluxType sends the audio, transcript text, prompts, model selections, and request metadata required by that feature directly to the provider using your API key.

You are solely responsible for your provider accounts, API keys, usage quotas, associated costs, billing, data retention settings, security configuration, and compliance with your provider's terms of service. FluxType does not mark up BYOK usage. FluxType is not responsible for third-party provider outages, model changes, pricing changes, data handling practices, invoices, or any actions your provider takes in relation to your account.

You must only enter API keys that you are authorised to use. If your device or account is compromised, you must immediately rotate or revoke any API keys stored in FluxType. You agree to indemnify FluxType for any costs, claims, or liabilities arising from your use of BYOK API credentials that you were not authorised to use.

Your content

You retain full ownership of all audio recordings, transcript text, prompts, custom snippets, vocabulary entries, replacement rules, feedback submissions, and other content that you create, record, upload, or process using FluxType (“Your Content”).

By using FluxType, you grant FluxType a limited, non-exclusive, worldwide licence to process, store, transmit, and use Your Content solely to the extent necessary to provide the specific features you have selected — including local transcription, optional cloud transcription, optional AI rewriting, settings synchronisation, account management, support, security monitoring, and abuse prevention. This licence does not extend to any use beyond delivering the Services you have requested.

You represent and warrant that you own or have obtained all necessary rights, licences, consents, and permissions required to submit, record, transcribe, process, store, sync, or share Your Content using FluxType, and that Your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party.

Privacy and recording consent

Our Privacy Policy explains in detail what information FluxType collects, why we collect it, how we process it, and how local, cloud, BYOK, billing, account, feedback, and website data flows work. It forms part of your agreement with us.

You are solely responsible for ensuring that your use of FluxType complies with all applicable laws in the jurisdictions where you and any other participants in a recording or transcription are located. This includes, without limitation, obtaining all necessary consents before recording, transcribing, summarising, or otherwise processing conversations, meetings, phone calls, or other communications involving third parties.

FluxType provides a tool that users control. FluxType does not make determinations about whether your particular use — including workplace monitoring, customer service recording, medical documentation, legal transcription, or any other regulated activity — is lawful in your jurisdiction. That responsibility rests entirely with you.

AI and transcription outputs

Transcription and AI outputs produced by FluxType may be inaccurate, incomplete, mistranslated, delayed, contextually wrong, or otherwise unsuitable for your intended purpose. AI modes, including Clean Dictation, Message, Notes, Prompt Builder, and Custom Instructions, may alter the meaning, tone, structure, or substance of the original text. FluxType makes no representation or warranty about the accuracy, completeness, or suitability of any output.

You are solely responsible for reviewing all outputs before relying on them, acting on them, sending them to others, publishing them, or using them in any professional, legal, medical, financial, employment, immigration, insurance, educational, safety-critical, or other consequential context. Do not submit AI or transcription outputs without human review in high-stakes situations.

FluxType does not provide legal advice, medical advice, financial advice, compliance guidance, or any other form of professional advice. Nothing produced by FluxType's AI features constitutes professional advice of any kind.

Licence and restrictions

Subject to your compliance with these Terms and payment of applicable fees, FluxType grants you a limited, personal, non-exclusive, non-transferable, revocable licence to download, install, and use the FluxType application on devices you own or control, solely for your own lawful purposes consistent with your plan and these Terms.

You may not: copy, redistribute, resell, sublicence, rent, lease, or otherwise commercially exploit FluxType or any part of it; reverse engineer, decompile, disassemble, or attempt to extract the source code of any part of FluxType except to the extent expressly permitted by applicable law; modify, adapt, translate, or create derivative works based on FluxType; scrape, crawl, or systematically extract data from FluxType; overload, interfere with, or disrupt the integrity or performance of FluxType or its infrastructure; or attempt to access any non-public systems, APIs, databases, or data belonging to FluxType.

You may not share a personal subscription account as a multi-seat team licence, create multiple accounts to circumvent free-tier limits or plan restrictions, or automate high-volume use of FluxType in ways outside normal individual product workflows.

Open-source software components included with or used by FluxType are governed by their respective open-source licences. Nothing in these Terms alters the rights granted under those licences.

Acceptable use

You agree to use FluxType only for lawful purposes and in accordance with these Terms. You must not use FluxType in any way that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, fraudulent, deceptive, discriminatory, or that violates the rights of others.

You must not use FluxType to: generate, process, or distribute content that violates applicable law, third-party intellectual property rights, or these Terms; create or distribute malware, spyware, ransomware, or other harmful software; conduct or facilitate phishing, credential theft, identity theft, financial fraud, or any form of scam; engage in unauthorised surveillance, doxing, stalking, or non-consensual monitoring of individuals; impersonate FluxType, its team, or any other person or entity; or attempt to gain unauthorised access to any computer system, network, or account.

FluxType reserves the right to investigate suspected violations and to take appropriate action, including suspending or terminating accounts, reporting activity to law enforcement, and cooperating with legal proceedings.

Security, sanctions, and export controls

You represent and warrant that your use of FluxType does not violate any applicable export control, trade sanction, or economic embargo laws or regulations, including those administered by the United Nations, the European Union, the United Kingdom, the United States, or any other relevant authority. You may not use FluxType if you are on any applicable restricted-party list or if doing so would require FluxType or its providers to violate such laws.

You may not attempt to circumvent any technical security controls, access controls, rate limits, plan entitlement systems, or regional restrictions implemented by FluxType or its providers.

If you identify a security vulnerability in FluxType, please report it responsibly and in confidence to support@fluxtype.app. Do not exploit the vulnerability, disclose it publicly, access data that does not belong to you, or take any action that disrupts service for other users. We take security reports seriously and will respond and remediate promptly.

Availability and changes to the Services

FluxType is a live product that continues to evolve. We may add, modify, remove, or discontinue features, supported AI models, third-party provider integrations, pricing structures, supported platforms, and geographic availability at any time.

We may implement changes without advance notice where required by security incidents, legal obligations, provider changes, abuse prevention, or urgent operational needs.

If we materially reduce a feature that is central to a paid FluxType Pro subscription during your active subscription period, we will use reasonable efforts to provide at least 30 days' advance notice and, where appropriate, offer a pro-rated refund or a reasonable alternative. This commitment does not apply to changes required by law, security needs, third-party provider actions, or abuse prevention measures.

Beta features and feedback

FluxType may offer features designated as beta, experimental, preview, or early access. These features are provided without warranties of any kind. They may be incomplete, subject to change, unstable, rate-limited, or discontinued at any time without notice. Beta features are provided on an as-available basis and do not form part of any service-level commitment.

If you submit feedback, suggestions, bug reports, feature ideas, or other input about FluxType (“Feedback”), you grant FluxType a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, modify, adapt, publish, and incorporate that Feedback into the Services or any other products or services, without any obligation to compensate you or to keep your Feedback confidential. You retain ownership of any underlying content that belongs to you separately from the Feedback itself.

Suspension and termination

You may stop using FluxType at any time. If you have a paid subscription, cancelling it through the billing portal or account settings will stop future renewals. To delete your account, use the account deletion option in settings or contact us at support@fluxtype.app.

Account deletion initiates the removal or disconnection of your account profile and associated data in accordance with the retention periods described in our Privacy Policy. Deletion does not automatically erase records that must be retained for billing, tax, legal, security, or dispute-resolution purposes.

FluxType may suspend or permanently terminate your access to the Services, with or without prior notice, if you violate these Terms, engage in fraudulent or abusive behaviour, fail to pay amounts due, create legal or regulatory risk for FluxType, infringe third-party rights, or use FluxType in a manner that could harm other users, third-party providers, or FluxType itself. Where practical and consistent with our legal obligations, we will notify you before suspension or termination and give you an opportunity to respond.

Upon termination, your licence to use FluxType ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution — will survive.

Intellectual property

FluxType and its underlying technology, source code, design, trademarks, trade names, logos, and all content produced by FluxType (other than Your Content) are owned by or licensed to FluxType and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of FluxType's intellectual property to you.

You may not use the FluxType name, logo, or trademarks without our prior written permission, except as expressly permitted by applicable law or these Terms.

If you believe that material accessible through FluxType infringes your intellectual property rights, please notify us through the contact form or email support@fluxtype.app. Your notice should include: your contact information; a description of the intellectual property right you claim is infringed; identification and location of the allegedly infringing material; a statement of your good-faith belief that the use is not authorised; and, for DMCA notices, a declaration under penalty of perjury that you are the rights owner or are authorised to act on the owner's behalf.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, FluxType expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, and uninterrupted or error-free operation.

FluxType does not warrant that the Services will meet your specific requirements, produce accurate or complete outputs, operate without interruption or error, be free from security vulnerabilities, or remain compatible with any particular operating system, device, third-party provider, or workflow.

Nothing in these Terms excludes or limits any consumer rights or statutory guarantees that cannot lawfully be disclaimed under the law of your jurisdiction, including any rights you may have under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, or equivalent legislation in your country.

Limitation of liability

To the fullest extent permitted by applicable law, FluxType shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, cost of substitute services, or third-party provider charges, arising out of or in connection with your use of or inability to use the Services, even if FluxType has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, FluxType's total aggregate liability to you for all claims arising out of or relating to the Services or these Terms is limited to the greater of: (a) the total fees you have paid to FluxType in the 12-month period immediately preceding the event giving rise to the claim; or (b) one hundred United States dollars (USD $100).

The limitations in this section do not apply to: (i) liability for death or personal injury caused by FluxType's negligence or wilful misconduct; (ii) liability for fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded or limited under mandatory consumer protection law applicable in your jurisdiction, including statutory rights under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, or equivalent legislation; or (iv) any other liability that cannot lawfully be excluded or limited.

Some jurisdictions do not permit certain exclusions or limitations of liability. To the extent that such restrictions apply in your jurisdiction, the above limitations may not apply to you or may apply only to the extent permitted by law.

Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FluxType and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content or your use of FluxType to process any content; (b) your BYOK provider accounts or API keys, including any unauthorised use of credentials; (c) your violation of these Terms or any applicable law or regulation; (d) your recording, transcription, or processing of communications without the legally required consent or authorisation; or (e) any third-party claim arising from your misuse of the Services.

This indemnification obligation does not apply to the extent that a claim arises from FluxType's own unlawful conduct, gross negligence, or wilful misconduct, or where such indemnification is prohibited by applicable law.

Force majeure

FluxType shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by events or circumstances beyond FluxType's reasonable control. Such events include, without limitation: natural disasters; acts of war, terrorism, or civil unrest; government actions; changes in law or regulation; strikes, lockouts, or other labour disputes; internet infrastructure failures; power outages; pandemic or public health emergencies; or failures or actions by third-party providers or suppliers that are not caused by FluxType's own negligence.

If a force majeure event materially affects a paid feature of your FluxType Pro subscription for more than 30 consecutive days, you may contact us at support@fluxtype.app to request a pro-rated credit or refund for the affected period.

Severability

If any provision of these Terms is found by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed from these Terms if modification is not possible. The modification or severance of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Waiver

No failure or delay by FluxType to exercise any right, power, or remedy under these Terms shall constitute a waiver of that right, power, or remedy. No single or partial exercise of any right prevents FluxType from exercising any other right or from exercising that right again in the future. Any waiver by FluxType must be in writing and signed by an authorised representative of FluxType to be effective.

Entire agreement

These Terms of Service, together with the Privacy Policy and any additional terms published for a specific feature, subscription tier, or promotional offer, constitute the entire agreement between you and FluxType with respect to the Services. They supersede all prior and contemporaneous agreements, representations, warranties, and understandings — whether written or oral — between you and FluxType relating to the subject matter of these Terms.

If there is any conflict between these Terms and any additional terms published for a specific feature or subscription, the additional terms will govern with respect to that feature or subscription.

Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice of law or conflict of law rules.

Before initiating any formal legal proceedings, you agree to contact FluxType at support@fluxtype.app and give us at least 30 days to attempt to resolve the dispute informally. Most concerns can be resolved quickly this way.

If informal resolution is not achieved, any dispute or claim arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. “Non-exclusive” means that if you are a consumer, you may also bring proceedings in the courts of the country where you habitually reside.

Nothing in this section limits your rights to seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent or restrain infringement of intellectual property rights or to protect confidential information. Nothing in this section limits any mandatory rights you have under the consumer protection or data protection laws of your country.

If you are a consumer in the European Union, you may also use the European Commission's Online Dispute Resolution platform, available at ec.europa.eu/consumers/odr, to seek resolution of disputes relating to online purchases.

Updates to these Terms

We may update these Terms from time to time as FluxType evolves. When we do, we update the date shown at the top of this page. We may also notify registered users of changes by in-app notice or email.

For material changes that expand your obligations, reduce your rights, or affect the core features of a paid FluxType Pro subscription, we will provide at least 30 days' advance notice before the updated Terms take effect, where practical and legally permissible.

Your continued use of FluxType after updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using FluxType and cancel any active subscription before the updated Terms take effect.
